The agreement between your firm and Orchestrator AI Ltd, including the Data Processing Schedule. Please read it before you install or buy a licence.
Last updated: 18 August 2026
The short version. You licence Orchestrator to run on your own machines. Your client data stays with you. In ordinary use nothing but licence validation and support diagnostics reaches us. Orchestrator drafts, it never sends on your behalf, and it never gives regulated advice. You remain responsible for everything that leaves your firm.
This summary is not the agreement. The clauses below are what actually applies.

By completing checkout, including ticking the box confirming that you have read and agree to the "Software Licence Agreement, Privacy Policy and Refund Policy", you accept and agree to be bound by these terms.
The Provider accepts your order and agrees to be bound by these terms by processing your order, confirming your order, or providing access to the Software, at which point a legally binding agreement is formed between you and the Provider.
In consideration of the Subscription Fees, we grant you a non-exclusive, non-transferable, non-sublicensable licence to install and use the Software on your own machines for your internal business purposes during the Term, subject to this agreement and the number of Licensed Users you have paid for.
You may only use the Software:
You must not, and must not permit any person to:
You are responsible for ensuring that your device, operating system, security settings and mailbox configuration meet any technical requirements for the Software. You acknowledge that we are not responsible for any failures, delays, security issues or reduced functionality caused by unsupported devices, outdated operating systems, third party software, corrupted mailbox data, changes to email provider settings, or your IT environment.
You acknowledge and agree that the licence granted under this agreement is enforced technically. The Software periodically validates your subscription status against our licence server, and your machines must be able to reach that server for validation to occur.
You expressly agree that we may cause the Software to become disabled, restricted or non-functional (in whole or in part) where:
You agree that such disablement is a contractually agreed and lawful exercise of our rights, is not an unauthorised act, and does not give rise to any liability on our part. We will not be responsible for any loss of access to draft outputs or data held on your machines resulting from disablement, and you are responsible for maintaining your own records and backups.
You must pay the Subscription Fees set out in the Key Details or your order, in advance and by the selected payment method. All Fees are exclusive of VAT, which you must also pay where applicable.
Your subscription renews automatically for successive periods equal to your current subscription period unless you cancel before the start of the next period in accordance with the clause dealing with cancellation and termination. Renewal is charged at our then-current rates.
We may change the Subscription Fees for future subscription periods by giving you at least 30 days' notice before the change takes effect. If you do not accept a fee change, you may cancel before it takes effect.
If any amount is overdue, we may, without limiting our other rights: (a) suspend or disable the Software as described in the clause dealing with technical licence enforcement; and (b) charge interest on overdue amounts at 4% per annum above the Bank of England base rate, accruing daily.
You acknowledge and agree that:
You are solely responsible for your regulatory compliance, including any obligations under FCA rules, the Consumer Duty and applicable financial services legislation, and for the accuracy, suitability and compliance of any correspondence or advice you provide to your own clients. You must not represent the Software as regulated financial advice or as a substitute for professional judgment.
You must:
We will provide the support described in the Key Details using reasonable endeavours. While we will work to assist with issues raised, we do not guarantee that every issue will be resolved. Unless expressly agreed in writing, support does not include IT administration, mailbox remediation, device maintenance, operating system support, third-party software support, data cleansing, custom development, or data recovery.
We may make available updates, patches and new versions of the Software from time to time. We are not obliged to maintain compatibility with earlier versions or with any particular hardware or operating environment.
We and our licensors own all Intellectual Property Rights in the Software, the Documentation and any improvements to them. Except for the licence expressly granted, no rights are transferred to you.
As between the parties, you own the input data you provide and the draft outputs generated for you, subject to our underlying rights in the Software. You are responsible for the use you make of those outputs.
If you provide feedback or suggestions about the Software, we may use them freely and without obligation to you.
The Software is designed to operate on your own machines. In ordinary use, the Software processes data locally on your devices and does not transmit personal data of your clients back to us, other than the limited licence validation data described in the clause dealing with technical licence enforcement.
To the extent we process any Personal Data on your behalf as a processor, Schedule 1 (Data Processing Schedule) applies. Each party will comply with its obligations under Data Protection Law.
We warrant that we have the right to grant the licence in this agreement and that we will provide the Software with reasonable care and skill.
Except as expressly stated in this Agreement, and subject to the clause dealing with liability, the Software is provided as an assistive productivity tool on an "as is" and "as available" basis. To the maximum extent permitted by law, we exclude all other warranties, conditions and representations, whether express or implied, including that the Software will be error-free, uninterrupted, compatible with all systems, accurate, complete, fit for a particular purpose or suitable for any regulated purpose. You acknowledge that outputs generated by the Software may be incomplete, inaccurate, outdated, misleading or unsuitable for your intended purpose, and that the quality of those outputs depends on the quality, completeness and accuracy of the data available to the Software and the instructions you provide. Nothing in this clause limits any warranty, guarantee or liability that cannot be excluded under applicable law.
Nothing in this agreement limits or excludes either party's liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be limited or excluded.
Subject to the clause above, we will not be liable for: (a) any loss arising from your reliance on, or failure to review, the outputs of the Software; (b) any regulatory penalty, censure or loss arising from your own regulatory obligations; or (c) any indirect or consequential loss, or loss of profit, revenue, goodwill, data or anticipated savings.
Subject to the two clauses above, our total aggregate liability arising out of or in connection with this agreement, whether in contract, tort (including negligence) or otherwise, is limited to the total Subscription Fees paid by you in the 12 months immediately before the event giving rise to the claim.
This agreement starts on the Commencement Date and continues for the subscription period selected, renewing automatically as described in the clause dealing with automatic renewal, until terminated in accordance with this agreement.
You may cancel your subscription with effect from the end of your current subscription period by giving notice before the next period begins. Except as required by law, Subscription Fees already paid are non-refundable.
Either party may terminate this agreement immediately by notice if the other:
We may terminate this agreement and disable the Software immediately if any Subscription Fee remains unpaid, in accordance with the clauses dealing with technical licence enforcement and non-payment.
On termination or expiry, the licence ends, you must cease using and uninstall the Software, and the Software may be disabled. Clauses which by their nature should survive (including those dealing with intellectual property, liability, data protection and no financial advice) continue in force.
This agreement, together with any order and the Schedules, is the entire agreement between the parties about its subject matter and supersedes all prior discussions and representations, except for fraud.
You may not assign or transfer this agreement without our prior written consent. We may assign or novate this agreement to a member of our group or a successor to our business.
We may vary this agreement for future subscription periods by giving reasonable notice. Your continued use after the change takes effect constitutes acceptance.
Notices must be in writing and sent to the email or address in the Key Details, and are deemed received on the next business day if sent by email.
A person who is not a party has no rights under the Contracts (Rights of Third Parties) Act 1999 to enforce this agreement.
Headings are for convenience only. References to legislation include amendments to it. Words importing the singular include the plural and vice versa. Capitalised terms in the Key Details have the meanings given there wherever used in this agreement.
This agreement and any dispute arising out of or in connection with it are governed by the laws of England and Wales, and the parties submit to the exclusive jurisdiction of the courts of England and Wales.

This Schedule applies to the extent that we process Personal Data on your behalf as a processor in connection with the Software. Where the Software processes Personal Data locally on your machines only, we may not act as a processor at all; this Schedule applies only to processing carried out by us on your behalf.
For processing to which this Schedule applies, you are the controller and we are the processor. You will indemnify us against all losses, claims, regulatory fines and reasonable costs arising from any third party claim or regulatory action to the extent caused by:
The subject matter, duration, nature and purpose of processing, the types of Personal Data and categories of data subjects are set out in the Annex to this Schedule.

Where we engage a sub-processor, we will:
We will not make a restricted transfer of Personal Data unless an appropriate transfer mechanism under Data Protection Law (such as UK adequacy regulations, the International Data Transfer Agreement or UK Addendum to the EU standard contractual clauses) is in place. Where you enable optional integration with a third party AI or large language model provider, any transmission of content to that provider results from your configuration choices; you are responsible for satisfying yourself that such use and transfer comply with Data Protection Law and your regulatory obligations, and the provider will be treated as a sub-processor to the extent it processes Personal Data on your behalf.
We will implement and maintain technical and organisational measures appropriate to any Personal Data we process, including:
On termination or expiry, we will, at your choice, delete or return all Personal Data processed by us on your behalf and delete existing copies, unless retention is required by law.
